ATLASMATH TERMS AND CONDITIONS OF USE

Welcome to AtlasMath, a service operated by MASSOLIT ONLINE EDUCATION LIMITED (“AtlasMath,” “we,” “us,” or “our”). These Terms and Conditions of Use (“Terms”) govern your access to and use of the AtlasMath website, video library, analytics platform, and related services (together, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a school, district, or other organization, you represent that you have authority to bind that entity, and “you” will refer to that entity.

  1. Eligibility and Accounts
    • The Services are intended for use by teachers, school administrators, and other authorized staff.
    • No student accounts are permitted under these Terms.
    • To access certain features, you may be required to create an account. You must provide accurate information and keep your login credentials secure.
  2. License and Permitted Use
    • AtlasMath grants you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for internal educational and professional development purposes.
    • You may not copy, modify, distribute, sell, or create derivative works from the Services without our written consent.
    • Unauthorized use, including reselling or public display of the content, is prohibited.
  3. Service Access and Availability
    • We will use commercially reasonable efforts to provide access to the Services, but we do not guarantee uninterrupted or error-free operation.
    • We may update, suspend, or discontinue any part of the Services at any time.
    • Support is provided by email during U.S. business hours.
  4. Fees and Payment
    • If you are accessing the Services under a free pilot, no fees apply for the pilot term.
    • For paid access, fees will be invoiced in U.S. Dollars and payable within 30 days unless otherwise agreed in writing.
    • Districts and schools that are tax-exempt must provide appropriate documentation.
  5. Data Protection and Privacy
    • The Services are strictly teacher-facing. We do not collect or process student data.
    • We collect teacher account details (such as name and email), usage data, and survey responses for the purposes of delivering and improving the Services.
    • Data is hosted in the United States on Amazon Web Services (AWS).
    • We implement appropriate security safeguards, including encryption, access controls, and incident response procedures.
    • In case of a confirmed data breach involving teacher data, we will notify affected institutions without undue delay.
  6. Intellectual Property
    • All content, software, and materials made available through the Services are owned by AtlasMath or its licensors and are protected by intellectual property laws.
    • You retain ownership of any feedback you provide, but you grant us a royalty-free, perpetual license to use feedback to improve our Services.
  7. Publicity
    • You may not use AtlasMath’s name, logo, or branding in marketing materials without prior written consent.
    • AtlasMath may list your organization internally and in non-public investor communications as a participant.
  8. Accessibility
    • AtlasMath will use commercially reasonable efforts to make its Services accessible in line with recognized standards such as WCAG 2.1 AA.
    • We will work in good faith to address accessibility issues that are reported to us.
  9. Warranties and Disclaimers
    • We warrant that we have the right to provide the Services and that the Services will perform materially as described.
    • Except as expressly stated, the Services are provided “as is” without other warranties, express or implied.
    • We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  10. Limitation of Liability
    • AtlasMath’s total liability under these Terms will not exceed the fees paid by you in the twelve (12) months preceding the claim. For free pilots, liability is capped at USD $0.
    • We are not liable for indirect, incidental, or consequential damages, including lost profits or data.
  11. Indemnification
    • You agree to indemnify and hold harmless AtlasMath from claims, damages, and costs arising from your misuse of the Services or violation of these Terms.
    • AtlasMath will indemnify you against claims that the Services infringe third-party intellectual property rights, provided you notify us promptly and allow us to control the defense.
  12. Termination
    • Either party may terminate these Terms at any time for convenience with written notice.
    • AtlasMath may suspend or terminate your access immediately if you materially breach these Terms.
    • Upon termination, you must cease using the Services.
  13. Governing Law and Jurisdiction
    • These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.
    • Any disputes shall be resolved in the state or federal courts located in New Jersey.
  14. Miscellaneous
    • These Terms constitute the entire agreement between you and AtlasMath regarding the Services.
    • If any provision is held invalid, the remainder will remain in effect.
    • Failure to enforce any right does not waive it.
    • You may not assign these Terms without our written consent; we may assign to affiliates or successors.
